1.Introduction

These General Terms and Conditions («Terms») are entered into by and between you («you,» «your,» or «Prospect») and Netzwerk + mehr GmbH, Oberdorfstrasse 15, 8001 Zurich, Switzerland («we,» «us,» or «Netzwerk Group»). These Terms, together with the respective rental offer, govern the use of our services, including but not limited to registering for our prospect list, receiving rental offers, and using our additional offered services (collectively referred to as «Services»).

 

Netzwerk Group reserves the right to amend or supplement these Terms at its sole discretion at any time. In such cases, Netzwerk Group will inform you of the change by updating the date of the last revision. By continuing to remain on our prospect list, receiving our rental offers, and using our Services, you confirm that you accept the updated Terms and all documents incorporated by reference in their respective current versions. If you do not agree with these Terms, please immediately refrain from using our Services and unsubscribe from the prospect list.

 

2. Warranties

By using our Services, you warrant that:

  • You have the right, authority, legal capacity, and are of legal age to accept these Terms and the respective rental offer and to enter into the obligations contained therein;

  • All information you provide to us in connection with registering for the prospect list or using our Services is true, complete, and accurate;

  • You will promptly communicate all necessary notifications, particularly changes to your contact details or other relevant information, to Netzwerk Group;

  • You are able to independently fulfill all legal and financial obligations arising from the use of our Services, and no legal obstacles exist in this regard;

  • You will not disclose or make accessible any information or data received in connection with our rental offers or the use of our Services to third parties without the prior express consent of Netzwerk Group; and

  • Upon request from Netzwerk Group, you will provide all necessary information and documents required for the performance of the Services.

Netzwerk Group provides the Services without any warranties, whether express or implied. In particular, Netzwerk Group does not warrant the marketability, suitability for a particular purpose, non-infringement of third-party rights, or the accuracy and completeness of the information provided.

3. Liability

To the extent permitted by law, Netzwerk Group’s liability for direct and indirect damages or consequential damages, such as lost profits, is excluded; accordingly, Netzwerk Group is liable only for intent and gross negligence. Liability for auxiliary persons is excluded.

4. Services 

The Services of Netzwerk Group include, in particular:

 

Prospect List:
To use Netzwerk Group’s additional Services, we offer you the opportunity to register for our prospect list.

 

Rental Offers:
If you have registered for our prospect list, Netzwerk Group will regularly send you rental offers for commercial premises tailored to your interests. If you are interested in a rental offer sent by Netzwerk Group, we will forward your contact details to the responsible property owner or current tenant of the commercial premises.

 

Additional Services:
Consulting services up to the conclusion of a contract between you and the property owner/tenant.

Netzwerk Group strives to keep rental offers current and accurate. However, no guarantee is provided for the success of a referral or the conclusion of a lease agreement between you and the property owner or their representative (collectively referred to as «Owner»).

 

Any contractual agreements regarding the rental of commercial premises require a separate contractual arrangement between you and the Owner.

5. Comission

If a lease agreement is concluded between you and the Owner within 5 years of Netzwerk Group’s referral, you are obligated to pay a commission to Netzwerk Group. The commission is determined based on the conditions specified in the respective rental offer. Specifically:

  • The commission becomes due upon the conclusion of the lease agreement between you and the Owner.

  • The amount and payment terms of the commission will be specified in the respective rental offer or in a subsequent referral agreement.

  • If no lease agreement is concluded despite a referral, no commission is due.

  • If you fail to pay the commission on time, Netzwerk Group reserves the right to take legal action.

If you can prove that you were already aware of the rental opportunity for the respective commercial premises prior to receiving the corresponding rental offer from Netzwerk Group, the obligation to pay a commission is waived. The burden of proof lies solely with you, and you must provide suitable evidence (e.g., email correspondence, advertisements, or other documents). If the proof is successful, Netzwerk Group will waive the commission claim. The decision as to whether the proof is sufficient and the commission claim is waived lies solely at the discretion of Netzwerk Group. If the proof is unsuccessful, you are obligated to pay the commission.

 

6. Taxes 

You are solely responsible for all direct or indirect taxes, duties, fees, levies, contributions, withholdings, or other charges of any kind arising in connection with the use of Netzwerk Group’s Services.

Netzwerk Group does not provide tax advice and assumes no responsibility for the payment and/or collection of taxes. You agree to indemnify Netzwerk Group from all tax claims of any kind.

7. Personal Data

The Privacy Policy describes Netzwerk Group’s information practices, including the types of personal data Netzwerk Group collects from you, how Netzwerk Group uses and shares this personal data, and your rights regarding the processing of personal data about you. The Privacy Policy sets out the legal bases for Netzwerk Group’s processing of your personal data, including the collection, use, processing, sharing, transfer, and handling of such personal data.

8. Final Provision

Unless otherwise agreed between you and Netzwerk Group, these Terms and the respective rental offer constitute the entire agreement between you and Netzwerk Group regarding the use of our Services and supersede all prior agreements. In case of contradictions between these Terms and the respective rental offer, the provisions of the more specific contractual document with respect to the relevant subject matter shall prevail.

Amendments and supplements to these Terms or the respective rental offer require written form to be valid. If parts of these Terms or the respective rental offer are deemed invalid or unenforceable, this shall not affect the existence or validity of the contractual relationship or the remaining provisions. The parties will replace the invalid or unenforceable provisions with a regulation that corresponds to the intent and purpose of the original agreements.

These Terms, the respective rental offer, or any rights or obligations arising therefrom may not be assigned to third parties without the prior written consent of Netzwerk Group. Any assignment or transfer not in accordance with this provision is invalid.

The provisions of these Terms and the respective rental offer that are intended by their nature to survive the termination of these Terms or the respective rental offer shall remain in force beyond such termination. This includes, but is not limited to, provisions regarding commission payments.

Netzwerk Group reserves the right to establish separate conditions for specific Services in the future.

3.6 Applicable Law and Jurisdiction

These Terms are governed by Swiss law, excluding Swiss conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods is excluded.

Any disputes arising out of or in connection with these Terms shall be exclusively subject to the jurisdiction of the ordinary courts in Zurich.
